Terms of service

These terms
Patch is operated by Sim Studio BV, a Belgian company ("we", "us"). These terms are the agreement between you and us for your use of Patch. By creating an account, subscribing to a plan, or otherwise using Patch, you agree to them. If you are using Patch for an organisation, you confirm that you can accept these terms on its behalf. If you do not agree, do not use Patch.
What Patch does
Patch is a feedback tool for client websites. Your clients pin comments on a live site through an embeddable widget, and Patch turns that feedback into pull requests using a coding agent that runs on your own credentials. We provide the dashboard, the widget, the GitHub integration, and the infrastructure that runs each agent job. We do not write or review your code for you, and we do not act as a party to your relationship with your own clients.
Your account
You are responsible for your account and your workspace, for keeping your sign-in details secure, and for everything that happens under them. You must give accurate account information and keep it current. You are responsible for the people you invite into a workspace and for the repositories and projects you connect. You must be at least 16 years old to use Patch.
Acceptable use
You agree not to use Patch to:
- break the law or infringe anyone's rights, including intellectual property;
- connect repositories, run agents against code, or submit content you are not authorised to use;
- attempt to break, overload, reverse engineer, or gain unauthorised access to Patch or the systems it runs on;
- use Patch to build or train a competing service, or to resell it without our agreement;
- upload malware, or use the agent to produce illegal, harmful, or abusive output.
We may suspend or limit accounts that put the service, other customers, or our providers at risk.
Bring your own agent credentials
Patch runs the coding agent on the credentials or account you provide, such as your Anthropic, OpenAI, or Cursor account. You are responsible for those accounts, for complying with the relevant provider's terms, and for all usage costs they charge you. By connecting them, you authorise us to use them only to run the agent on your behalf for your projects. We do not mark up or resell agent usage; what your provider charges is between you and them.
Agent output and your review
The agent's output, including proposed code changes and pull requests, is generated automatically and provided as-is. It can be wrong, incomplete, or insecure. Patch opens pull requests as proposals; nothing is merged automatically. You are responsible for reviewing every change before merging it and for everything you ship. We are not liable for code you merge or deploy.
Plans, billing, and payment
Patch offers a free plan and paid monthly plans. Paid plans are billed in advance each month through our payment processor, Stripe, in euro, and renew automatically until you cancel. Prices are exclusive of VAT and other taxes, which are added where required. You can change or cancel your plan from your workspace settings; cancellation takes effect at the end of the current billing period and we do not provide refunds for partial periods unless the law requires it. Each plan includes defined limits, such as active projects, internal members, and a monthly cap on Patch runs; going over a limit can block new projects, invites, or runs until you prune down or upgrade. We may change prices or plans with reasonable notice, and changes apply from your next billing period.
Your content and your clients
You and your clients keep all rights to your repositories, feedback, and other content. You grant us the limited rights needed to operate Patch: to host and process that content, to access connected repositories scoped to a project, and to pass the content required for a run to your agent provider. You are responsible for having the right to share client feedback and repository contents with Patch, and for your own relationship and agreements with your clients.
Our intellectual property
Patch, including the dashboard, widget, and brand, belongs to us. These terms do not give you any rights in them beyond using the service as intended.
Availability
We work to keep Patch available and reliable but provide it as-is and as-available, without guarantees of uninterrupted or error-free operation. We may change, suspend, or discontinue parts of the service, and we rely on third-party providers, such as hosting, GitHub, and agent providers, whose own availability we do not control.
Disclaimers
To the extent the law allows, Patch is provided without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that agent output is accurate, secure, or suitable for your use.
Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, or consequential damages, or for lost profits, lost data, or code you merge or deploy. Our total liability for any claim relating to Patch is limited to the amount you paid us for the service in the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under Belgian law.
Termination
You can stop using Patch and close your account at any time. We may suspend or end your access if you breach these terms, if required by law, or if continuing to provide the service to you is no longer reasonable. When your account ends, your right to use Patch stops and we handle your data as described in our Privacy policy.
Privacy
Our Privacy policy explains what personal data we collect and how we use it. By using Patch you also agree to that policy.
Changes to these terms
If these terms change, we will post the new version here and update the date at the top of this page. If a change is significant, we will give reasonable notice. Continuing to use Patch after a change means you accept the updated terms.
Governing law
These terms are governed by Belgian law, and any disputes are subject to the courts of Belgium, without affecting any mandatory consumer protections in your country of residence.
